TERMS AND CONDITIONS:
These Terms and Conditions (“Terms”) govern access to and use of the website www.cirqex.com (“Website” or “Platform”), owned and operated by CIRQ VENTURES (OPC) PRIVATE LIMITED (“Company”, “we”, “us”, or “our”).
By accessing, registering on, or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not access or use the Platform.

1. DEFINITIONS:
1. “EPR” means Extended Producer Responsibility as defined under applicable environmental laws and guidelines issued by the Central Pollution Control Board.
2. “EPR Credits” mean credits generated, transferred, or traded in accordance with applicable EPR regulations.
3. “User” means any person or entity accessing or using the Platform, including Producers, Importers, Brand Owners (PIBOs), Recyclers, Traders, and other stakeholders.
4. “Materials” means recycled granules or related recycled products listed on the Platform.
5. “Transaction” means any commercial interaction including listing, inquiry, sale, purchase, or transfer of Materials or EPR Credits.

2. NATURE OF PLATFORM:
1. The Platform is a facilitation and information technology platform.
2. The Company does not manufacture, recycle, buy, sell, own, or guarantee any Materials or EPR Credits listed.
3. The Company is not a regulator, verifier, or certifying authority.
4. All Transactions occur directly between Users, at their own risk and discretion.

3. ELIGIBILITY TO USE:
1. Users must be legally capable of entering binding contracts under Indian law.
2. Businesses must be duly registered under applicable laws and possess valid licenses, registrations, and authorizations required for EPR compliance.
3. By using the Platform, Users represent that all information submitted is true, complete, and accurate.

4. USER ACCOUNTS:
1. Certain features require registration.
2. Users are responsible for maintaining confidentiality of login credentials.
3. Any activity conducted through a User’s account shall be deemed to have been conducted by the User.
4. The Company reserves the right to suspend or terminate accounts for non-compliance.

5. LISTINGS AND INFORMATION:
1. Listings of Materials and EPR Credits are user-generated.
2. The Company does not verify:
o Quality, quantity, or specifications of Materials
o Authenticity or validity of EPR Credits
o Regulatory compliance of Users
3. Users must independently conduct technical, commercial, and legal due diligence.

6. EPR CREDIT TRADING:
1. The Platform merely enables visibility and facilitation of EPR Credit trading.
2. Users acknowledge that:
o EPR regulations are subject to change
o Credits may be accepted or rejected by authorities
3. The Company shall not be liable for:
o Rejection of credits by CPCB or SPCBs
o Regulatory penalties
o Delays in portal updates or government approvals

7. PAYMENTS AND COMMERCIAL TERMS:
1. Commercial terms, including price, taxes, payment timelines, and delivery, are mutually agreed between Users.
2. Unless expressly agreed in writing, the Company is not a party to any Transaction.
3. Any facilitation fee or subscription charges shall be governed by separate commercial arrangements.

8. INTELLECTUAL PROPERTY:
1. All Platform content, including logos, design, software, and text, is the exclusive property of the Company.
2. Users are granted a limited, non-exclusive, non-transferable license to use the Platform for lawful purposes.
3. Unauthorized copying, scraping, or reverse engineering is prohibited.

9. PROHIBITED ACTIVITIES:
Users shall not:
• Provide false or misleading information
• Upload forged or non-compliant EPR documentation
• Engage in fraudulent or unlawful Transactions
• Violate environmental, tax, or corporate laws
• Interfere with Platform security or operations

10. LIMITATION OF LIABILITY:
To the maximum extent permitted by law:
1. The Company shall not be liable for:
o Transaction disputes
o Regulatory non-compliance by Users
o Loss of profits, data, or business
o Indirect or consequential damages
2. Total liability, if any, shall not exceed fees paid to the Company in the preceding 12 months.

11. INDEMNITY:
Users agree to indemnify and hold harmless the Company from any claims, penalties, damages, or losses arising out of:
• Breach of these Terms
• Misrepresentation or fraud
• Violation of EPR or other laws

12. TERMINATION:
1. The Company may suspend or terminate access without notice for breach of these Terms.
2. Termination shall not affect accrued rights or obligations.

13. FORCE MAJEURE:
The Company shall not be liable for failure or delay caused by events beyond reasonable control, including regulatory changes, system failures, or government actions.

14. GOVERNING LAW AND JURISDICTION:
1. These Terms shall be governed by the laws of India.
2. Courts at Mumbai, Maharashtra, shall have exclusive jurisdiction.

15. AMENDMENTS
The Company may revise these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.
